Terms of Service

1. Acceptance of Terms

By creating an account or using ScholarFlow in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the service. We reserve the right to update these Terms at any time; material changes will be communicated via email or in-app notice.

2. Eligibility

You must be at least 13 years old to use ScholarFlow. If you are between 13 and the age of majority in your jurisdiction, you must have a parent or legal guardian review and consent to these Terms on your behalf. By using ScholarFlow, you represent and warrant that you meet these eligibility requirements.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must provide accurate, current, and complete information during registration and keep your account information updated.
• You must notify us immediately at support@scholarflow.cc of any unauthorized use of your account.
• ScholarFlow is not liable for any loss or damage arising from your failure to comply with these responsibilities.

4. Acceptable Use

You agree not to use ScholarFlow to:

• Violate any applicable laws, regulations, or third-party rights.
• Upload, post, or transmit any content that is unlawful, harmful, defamatory, or otherwise objectionable.
• Attempt to probe, scan, or test the vulnerability of ScholarFlow’s systems or network.
• Interfere with or disrupt the service, servers, or networks connected to ScholarFlow.
• Reverse-engineer, decompile, or otherwise attempt to extract the source code of ScholarFlow.
• Use any automated means (bots, scrapers, spiders) to access or collect data from ScholarFlow without our prior written permission.
• Create multiple accounts to circumvent usage limits or subscription restrictions.

5. Intellectual Property

5.1 Our IP

ScholarFlow, including its name, logo, design, user interface, codebase, and all related content, is the exclusive intellectual property of ScholarFlow and its licensors. These Terms do not grant you any right, title, or interest in ScholarFlow except for the limited license to use the service as described herein.

5.2 Your Data

You retain full ownership of the academic data, grades, study notes, and any other content you upload to ScholarFlow. By using the service, you grant us a limited, non-exclusive license to store, process, and display your data solely for the purpose of providing the ScholarFlow service to you. This license ends when you delete your account.

6. Subscriptions & Billing

6.1 Free Tier

ScholarFlow offers a free tier with limited features. The features included at each tier are described on our Pricing page. We reserve the right to modify the features included in the free tier at any time.

6.2 Paid Subscriptions

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection) through Stripe. By subscribing, you authorize us to charge your payment method at the beginning of each billing period. Prices are listed in US Dollars (USD) and may be subject to applicable taxes.

6.3 Price Changes

We reserve the right to change subscription pricing. For existing subscribers, we will provide at least 30 days’ notice before any price change takes effect. Continued use of the service after the price change constitutes acceptance.

6.4 Lifetime Access

The Lifetime plan grants you access to Pro-tier features for the lifetime of the ScholarFlow service. “Lifetime” refers to the operational lifetime of the ScholarFlow product, not your personal lifetime. If ScholarFlow is discontinued, we will make reasonable efforts to provide you with an offline data export.

7. Refund & Cancellation Policy

7.1 Cancellation

You may cancel your subscription at any time through the Customer Portal accessible from your account settings. Upon cancellation, you will retain access to the paid features until the end of your current billing period. No partial refunds are issued for unused time within a billing cycle.

7.2 Refunds

• General Policy: Due to the digital nature of ScholarFlow, we generally do not offer refunds once a subscription payment has been processed, unless required by applicable law.
• Technical Issues Exception: If you experience a technical bug or outage that materially prevents you from using ScholarFlow for more than 48 consecutive hours, you may request a partial refund for the affected billing period. Requests must be submitted to support@scholarflow.cc within 7 days of the incident.
• Lifetime Purchases: Lifetime access purchases are final and non-refundable, except where required by applicable consumer protection laws.

8. Service Availability

ScholarFlow is provided on an “as is” and “as available” basis. While we strive for high uptime, we do not guarantee that the service will be uninterrupted, secure, or error-free at all times. We may need to perform scheduled maintenance, during which the service may be temporarily unavailable. We will make reasonable efforts to notify you in advance of any planned downtime.

9. Limitation of Liability

To the fullest extent permitted by applicable law, ScholarFlow and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of academic data, grades, or study records (we recommend regular exports).
• Loss of profits, revenue, or business opportunities.
• Any damages arising from your inability to access or use the service.

Our total liability for any claim arising out of or relating to these Terms or your use of ScholarFlow shall not exceed the total amount you have paid us in the twelve (12) months preceding the claim, or $10 if you have made no payments.

10. Third-Party Services

ScholarFlow integrates with third-party platforms and services such as Supabase (authentication and database), Stripe (payments), and Vercel (hosting). We are not responsible for the practices, content, or availability of these third-party services. Your use of such services is subject to their respective terms and privacy policies.

11. Termination

We reserve the right to suspend or terminate your account and access to ScholarFlow at our sole discretion, without prior notice, if:

• You violate these Terms of Service.
• Your conduct could harm other users, third parties, or ScholarFlow’s reputation.
• We discontinue the ScholarFlow service (in which case we will provide reasonable advance notice).

Upon termination, your right to access ScholarFlow ceases immediately. You may request an export of your data within 30 days by contacting support@scholarflow.cc.

12. Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED HEREIN, SCHOLARFLOW IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM USING THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Hong Kong SAR.

14. Changes to Terms

We may modify these Terms at any time. When we do, we will update the “Last Updated” date and notify you via email or a prominent notice on ScholarFlow. By continuing to use ScholarFlow after changes take effect, you agree to be bound by the revised Terms. If you do not agree, you must stop using the service and delete your account.
